ANNOUNCEMENT OF FINANCIAL RESULTS FOR 2025

In 2025 MOTODYNAMICS Group maintained its steady growth trajectory, achieving a 9.5% increase in sales. Excluding the new activities and fleet sales, organic growth reached 5.8%, while gross profit rose to €43.7 million, confirming the momentum of the year. Earnings before interest, taxes, depreciation and amortisation (EBITDA) increased by 6.4% to €31 million, while operating profit was slightly lower (-2.2%) at €16 million, having absorbed all of the operating investments in the new activities (Toyota Autodirect and NIO).

The automotive segment continued its upward course, strengthened by the Group's entry into Toyota's network of partners through the newly established subsidiary Autodirect, with total segment sales reaching €66.2 million and the premium segment (Porsche) contributing organic growth of 8.8%. Sales of motorcycles and marine products (Yamaha) came to €87.2 million (+1.8%). The Sixt segment recorded revenues of €61.3 million, an increase of 2.2%.

Targeted investments in the SIXT fleet and the increased retention of vehicles strengthened non-current assets, which reached €97.5 million. Financing was secured through strong cash flows and bank borrowing, keeping leverage at healthy levels. Net debt increased to €51.9 million, with the Net Debt/EBITDA ratio standing at 1.67.

Financial costs remained at the same levels, following the trend of lower interest rates and a more efficient borrowing structure.

On 31/12/2025 the Group's non-current assets amounted to €85 million (excluding the effect of IFRS 16), an annual increase of 20.1%, mainly due to investments in, and the retention of, fleet for rental.

The Group's Chairman and CEO, Mr Paris Kyriacopoulos, stated:

“MOTODYNAMICS Group completed yet another year of growth, recording record sales in every activity. In an environment of intense competition and inflationary pressures, our segments held a steady line of defence on profit margins, allowing the gross margin to move upwards and keep pace with the organic growth in sales.”

Porsche's activity recorded record registrations, with the all-electric Macan taking first place among premium electric SUVs. Yamaha continues to gain market share in the two-wheeler market, in a highly competitive environment where new entrants from China are claiming growing shares.

SIXT achieved another record year, maintaining high shares at the country's major airports. The temporary slowdown in Santorini was offset by strong, double-digit growth in Athens, Thessaloniki and Heraklion, taking short-term car rental (Rent a Car) to an overall increase of 8.9%.

In 2025 we invested in two new activities: Toyota Autodirect and NIO. Toyota Autodirect started in February in Patras and in June in Syros, and the first signs are very positive. This activity is expected to be profitable from the first half of 2026. NIO, after a presence of several months at the Golden Hall, which allowed us to introduce the brand to the general public, is proceeding with the creation of the first NIO House at the 14th km of the Athens–Lamia road. In 2026 we aim to continue our growth path, with a parallel emphasis on strengthening profitability. Geopolitical developments in the Middle East call for constant vigilance; nevertheless, we remain optimistic and ready to adapt our strategy immediately, should demand for our products and services be affected.”

The Board of Directors will propose to the General Meeting a dividend distribution of €0.14 per share, confirming the consistency of the long-term dividend policy and the steady creation of value for shareholders.
